Eco Material Technologies Inc. announces upsizing and pricing of offering of additional senior secured green notes

Eco Material Technologies Inc. announced the pricing of its previously announced offering of US$125 million aggregate principal amount of additional 7.875% Senior Secured Green Notes due 2027 in a private placement to eligible purchasers under Rule 144A and Regulation S of the Securities Act of 1933, as amended at a price of 99.26% of the face value of the New Notes.

The aggregate principal amount represents an increase in the size of the offering of US$25 000 000 from the previously announced offering of US$100 000 000. The sale of the New Notes is expected to close on 31 January 31 2024, subject to market conditions and other factors.

The New Notes are being offered as additional notes under an indenture, dated 9 February 2022, as supplemented by the supplemental indenture dated 10 February 2022, pursuant to which the company previously issued and sold US$525 million aggregate principal amount of 7.875% Senior Secured Green Notes due 2027. The New Notes will be guaranteed by Eco Material Technologies Parent Inc. and each of the company's existing and future restricted subsidiaries that guarantee the obligations under the company's credit facility, and will have identical terms as the Initial Notes, other than the issue date and offering price, and will be treated as a single class of securities with the Initial Notes under the Indenture. The company intends to use the net proceeds from the Offering for general corporate purposes, including the financing of capital projects.

The New Notes to be offered have not been registered under the Securities Act or any state securities laws. The New Notes may not be offered or sold within the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The New Notes will be offered, by the initial purchaser, only to persons reasonably believed to be 'qualified institutional buyers' in reliance on the exemption from registration provided by Rule 144A under the Securities Act and to certain non-US persons in offshore transactions in reliance on Regulation S.
