Cementir Holding announces newly appointed positions

During Cementir Holding’s Board of Directors meeting, Francesco Caltagirone Jr was appointed Chairman and Chief Executive Officer (CEO), Carlo Carlevaris as Vice Chairman and Riccardo Nicolini as General Manager.

Paolo Di Benedetto was selected as ‘Lead Independent Director’ after checking his, Veronica De Romanis and Chiara Mancini’s compliance with the requirements for independence set out under applicable law and Corporate Governance Code listed for companies.

The Company’s Chief Financial Officer Massimo Sala was confirmed as Corporate Accounting Documents Officer for 2015. Mario Venezia (Chairman), Franco Doria and Francesco Paolucci were selected as members of the Supervisory Board pursuant to Legislative Decree 231/2001 for the 2015-2017 period.

Pursuant to the applicable law, the bylaws and the Corporate Governance Code, the Board of Directors also resolved upon the formation of the subsequent internal committees, consisting of the members listed below: Executive Committee: Francesco Caltagirone Jr. (Chairman), Mario Delfini and Riccardo Nicolini; Control and Risk Committee: Paolo Di Benedetto (Chairman), Veronica De Romanis and Chiara Mancini; Nominations and Compensation Committee: Paolo Di Benedetto (Chairman), Veronica De Romanis, Chiara Mancini and Mario Delfini.
