LafargeHolcim public exchange offer results

LafargeHolcim Ltd initiated a public exchange offer for the shares of Lafarge S.A and recently, the Autorité des marchés financiers (AMF) has recently published the final results of the re-opened offer which has resulted in the tender of 25 901 191 additional Lafarge S.A. shares.
The settlement-delivery of the re-opened offer is expected to occur on 4 August 2015. Subsequent to this, LafargeHolcim Ltd will hold a total of 278 131 864 Lafarge S.A. shares, representing 96.41% of the share capital and at least 95.25% of Lafarge S.A voting rights.
Possibility of a squeeze-out procedure
Since over 95% of the share capital and voting rights in Lafarge S.A. have been tendered, LafargeHolcim Ltd could request the AMF to implement a squeeze-out procedure pursuant to the general regulations of the AMF for all issued and outstanding Lafarge S.A. shares not tendered to the public exchange offer. However, the LafargeHolcim Ltd Board of Directors has made no decision regarding this matter.
